  • Affidavit of Loss and Agreement of Indemnity
    A written statement from a security holder declaring the physical loss of a share or unit certificate and the circumstances surrounding the loss. The affidavit further provides information on the security such as the registration name, certificate number and share amount. Kingsdale Advisors uses Travelers Insurance to provide Bond coverage for lost certificate holders. This document is a Traveler’s form.
  • Beneficiary
    An individual who is eligible to receive distributions from a trust or will.
  • Claim Card
    A Claim Card is a form that shareholders are required to complete and sign in order to participate in Kingsdale Advisors' Asset Reclamation Program and exchange their old shares for new shares or cash.
  • Corporate Resolution / Certificate of Authorized Signing Authorities
    A document created and authorized by the Board of Directors indicating the individual(s) at the corporation can bind the corporation legally or provide instructions and direct on behalf of the corporation by signing documents. Notarized copies of original documents are accepted.
  • CUSIP
    An acronym for the Committee on Uniform Security Identification Procedures. The nine-digit alphanumerical code is used to identify securities.
  • Declaration of Transmission
    A declaration of transmission is an affidavit sworn before a notary public or commissioner for oaths by the deceased person’s Executor(s). It provides formal evidence of the death of the shareholder, the deceased’s place of residence, the ownership of the shares and the existence of the Executor(s)
  • Depositary Agent
    An agent appointed for a Tender Offer or a Plan Arrangement who accepts and processes Letter of Transmittals, Certificates and other relevant documents and remits the cash and/or new securities entitlements to the tendering or participating party.
  • DRS
    Direct Registration System is a system that allows shareholders to electronically hold their securities in book entry or electronic form without having a physical certificate issued to prove ownership.
  • Effective Date
    Date on which a transaction takes effect.
  • Executor
    An individual or a trust company nominated in a Will by a Testator to be the legal representative of the Testator upon death and to dispose of the Testator’s property according to the provisions of the Will.
  • ISIN
    An acronym for the International Securities Identification Number (ISIN) which is a 12-character alpha-numerical code that uniquely identifies a security.
  • Kingsdale’s Asset Reclamation Program
    A quick and efficient program that allows shareholders to claim their share, cash and/or dividend entitlements that are owed to them as a result of past mergers and/or acquisitions involving the issuer of their securities
  • Kingsdale’s Shareholder Tracker Program
    A fast and convenient program for shareholders to update their share registration information through specialized and personal support to ensure that they receive their accrued and future cash dividend payments as well as access important corporate notices and shareholder information.
  • Letter of Transmittal
    A Letter of Transmittal is a formal document that provides information on the terms and conditions of Plan of Arrangements and Tender Offers and usually accompanies the Management Information Circular.
  • Medallion Signature Guarantee
    A stamp obtained from a Financial Institution that is a member of one of three Medallion signature guarantee programs: the Securities Transfer Agents Medallion Program (STAMP), the Stock Exchanges Medallion Program (SEMP) and the New York Stock Exchange Medallion Signature Program (MSP). A Medallion Signature Guarantee authorizes is required if a shareholder wants to transfer his securities. The stamp guarantees that the signature authorizing the transfer of securities is authentic.

    Examples of Medallion Signature Guarantee Stamps from each of the medallion programs:

  • Notarized Document
    A document that is verified to be a true copy of an original document. This document will bear the seal or stamp of a Notary Public.
  • Notary Public
    A public officer constituted by law who administers oaths and affirmations, witnesses the signing of documents and attests to the signatures on document.
  • NYSE
    The acronym for New York Stock Exchange
  • Power of Attorney
    A legal document that one signs to give another person the right to act on the signatory's behalf.
  • Probate
    A probate is a court process wherein the estate of the deceased who dies testate (with a valid will) is administered in accordance with the terms of the Will. If the Will nominates a person whom the testator wishes to administer the estate, this person, if he/she is prepared to take on that office, becomes the Executor.
  • Share Certificate
    A Share Certificate is legal document that represents share ownership in a corporation.
  • Signature Guarantee

    stamp obtained from a bank or other financial institution that verifies the legitimacy of a signature and the signatory's overall request.

    Examples of Signature Guarantee:

  • Sole Director Resolution
    A written statement declaring that the individual has the sole signing authority on behalf of the company.
  • SSE
    The acronym for Shanghai Stock Exchange.
  • Stock Power of Attorney
    A legal power of attorney that transfers the ownership of securities to another person. The Stock Power must be Medallion Signature Guaranteed to be valid.
  • TSE
    The acronym for Toronto Stock Exchange.
  • Waiver of Probate Bond
    A written instrument (Form) under a notarial seal or stamp by which the signer, usually together with his surety or bondman, guarantees to protect a financial institution against future loss in the event of a request to transfer shares registered in a deceased person's name where the Estate has not been probated by the province, state or district court office.
  • Will
    A legal declaration by which a person, the testator, names one or more persons to manage his or her estate and provides for the distribution of his or her property at death.
  • WSE
    The acronym for Warsaw Stock Exchange.
